This Agreement is made by and between iVirtualOffice.biz and the representatives who confirms reading this document by acknowledgment below.In Consideration of the mutual promises and covenants set forth below, the parties hereby agree as follows:

(A) Representative is an individual, partnership or corporation whose completed application has been accepted by iVirtualOffice.biz, only authorized Representatives may sell the iVirtualOffice.biz program. The Representative agrees and understands that this is an Association enrolling members for association benefits.

(B) Representative is an independent contractor, conducting business for Representatives own account, and not as an agent or employee of iVirtualOffice.biz. The Representative shall be responsible for payment of all applicable Federal and State taxes (including Social Security Taxes, Unemployment Taxes, and Income Taxes) and will abide by all applicable Federal, State and Local laws. Representative agrees and understands that he/she cannot bind iVirtualOffice.biz or any of its provider companies by any promise or agreement, to incur any debt, expense or liability in its name or account, or waive any provisions of the iVirtualOffice.biz plans. Representative shall be free to exercise Representatives own judgment as to the persons solicited and the time and place of such solicitation.

(C) Representative hereby agrees that iVirtualOffice.biz will issue an Identification Number after receipt of this application and agreement. This identification number must appear on all enrollments submitted by Representative in order to get proper credit for the sale.

(D) iVirtualOffice.biz or its designated third party administration shall pay Representatives commission as provided for in the commission schedule hereof as complete compensation for all enrollment forms procured and for all services performed as required of Representative hereunder. Commissions shall not include monies for administration fees. All commissions are paid as earned and my be advanced at the will of iVirtualOffice.biz as set forth in commission addendum. Administration fees are Non-commissionable. No commissions shall be payable on any membership not accepted by the applicant or on any membership declined by iVirtualOffice.biz or the enrolling Association. In the event that Representative incurs indebtedness to iVirtualOffice.biz or affiliates, iVirtualOffice.biz may offset against, and deduct from, any compensation due. Representative and such indebtedness shall be a first lien against all such compensation. Commission is not payable on the application fee. If the retail price of the product is increased, the commission will be commensurate. iVirtualOffice.biz reserves the right to change the price or membership benefits at any time.

(E) Representative agrees to refrain from using advertising or any other material not supplied or approved in writing by iVirtualOffice.biz. No forbearance or neglect by iVirtualOffice.biz to enforce any of the provisions of this agreement shall invalidate it or thereafter constitute a waiver of any of these provisions.

(F) Either party may terminate this agreement at any time upon written notice to the other party's last known address. iVirtualOffice.biz may terminate immediately for cause. Cause is defined to mean: (a) fraud or breach of any of the terms of the agreement, (b) failure to pay iVirtualOffice.biz any monies as herein required, (c) violation of any laws or, (d) any illegal act. If this agreement is terminated for cause, Representative shall not be entitled to any further commission if any.

(G) iVirtualOffice.biz may offset any indebtedness by agents against commission, Advances or overrides. Interest on any unpaid balance shall be 1.5% per month. Collection fees on unpaid debits to iVirtualOffice.biz shall be at agents cost. Commissions shall be paid as long as they total twenty-five () in any month. Advanced commissions are considered loans made to representative, including override commissions. The Loans made to representative can be called due and payable including chargeback's and lapses at any time by iVirtualOffice.biz

(H) Representative hereby agrees that the commission statements of iVirtualOffice.biz shall be competent and sufficient prima fascia evidence of the state of accounts between parties hereto and the failure of Representative to object in writing to any statement of account furnished by iVirtualOffice.biz to representative, within (90) days from the date such statement is furnished, shall render such statement a correct account as between iVirtualOffice.biz and Representative.

(I) If any provision of this agreement is declared or found to be unenforceable all other provisions shall remain in full force and effect.

(J) If Representative is a corporate entity, the persons executing this agreement as officer of said corporation hereby agree and undertake the personal guarantee and satisfaction of all duties, performances and all obligations, including monies owed and to iVirtualOffice.biz by such corporation, under this agreement.

(K) Representative agrees to indemnify and hold iVirtualOffice.biz, its officers, directors, successors and assigns harmless from any claim, action, liability, loss, damage, or suit arising from the failure of the representative to sell the program in a way that violates any state or federal law, statute, or regulation.

(L) The laws of the State of Texas shall govern this Agreement. Any litigation field is agreed to be field, arbitrated and litigated in Dallas, County.

(M) Representative agrees to accept periodic updates and information from iVirtualOffice.biz by email, fax or mail.

This Agreement is executed as of the date approved by iVirtualOffice.biz. Other products may be added or commissions adjusted on new business by addendum.
